THIS WARRANT AGREEMENT (this “Agreement”), dated as of September __, 2022, is by and between Qomolangma Acquisition Corp., a Delaware corporation (the “Company”), and American Stock Transfer & Trust Company, LLC, a New York limited liability trust company, as warrant agent (the “Warrant Agent” or also referred to herein as the “Transfer Agent”).
