This Share Purchase Agreement (this “Agreement”) is made and entered into as of January 11, 2023 by and among (i) Tian Jie, an individual (the “Purchaser”), (ii) Color Sky Entertainment Limited, a Hong Kong corporation (the “Company”), and (iii) Color Star Technology Co., Ltd., a Cayman Islands exempt company (“Color Star” or the “Seller”). The Purchaser, the Company and the Seller are sometimes referred to herein individually as a “Party” and, collectively, as the “Parties”.
