This AMENDEMENT TO LOAN SECURITY AGREEMENT, dated as of February 22, 2023 (this “Amendment”), is made by and among Parts id, inc., a corporation organized under the laws of Delaware, and PARTS ID, LLC, a limited liability company organized under the laws of Delaware (collectively, “Borrower”), and JGB CAPITAL, LP, JGB PARTNERS, LP and JGB (CAYMAN) GLENEGEDALE LTD. (each, a “Lender” and collectively, the “Lenders”) and JGB COLLATERAL LLC, as agent (together with its successors and permitted assigns in such capacity, the “Agent”).

This Amended and Restated Intellectual Property Security Agreement (“Agreement”) is entered into as of February 22, 2023, by and among (a) PARTS iD, INC., a Delaware corporation, whose address is 1 Corporate Drive, Suite Cranbury, New Jersey 08512 (“Parent”), (b) PARTS iD, LLC, a Delaware limited liability company, whose address is 1 Corporate Drive, Suite Cranbury, New Jersey 08512 (“Company” and together with Parent, the “Grantors” and each a “Grantor”), (c) the several financial institutions or entities from time to time parties to the Loan Agreement as lenders (collectively, the “Lender”), and (c) JGB COLLATERAL, LLC, a Delaware limited liability company in its capacity as collateral agent for the Lender (in such capacity, the “Agent”).
