This Amendment to Share Repurchase Agreement, dated March 17, 2023 (this “Amendment”), is entered into by and among AGIIPLUS INC. (the “Company”), an exempted company with limited liability incorporated under the Laws of the Cayman Islands, whose registered office is located at 89 Nexus Way, Camana Bay, Grand Cayman, KY1-9009, Cayman Islands and KING INSPIRATION LIMITED, a private limited company duly incorporated and validly existing under the laws of the British Virgin Islands (the “Selling Shareholder”). Capitalized terms used but not otherwise defined herein shall have the meanings ascribed to them in the Repurchase Agreement (as defined below).
