This letter (the “Agreement”) constitutes the agreement between Maxim Group LLC (“Maxim” or the “Placement Agent”) and Siyata Mobile Inc., a corporation existing under the law of British Columbia (the “Company”), that Maxim shall serve as the exclusive placement agent for the Company, on a “reasonable best efforts” basis, for the proposed placement of up to an aggregate of US$4,000,000 of registered common shares, no par value per share (the “Common Shares”) of the Company, consisting of up to [______] Common Shares directly to various investors (“Investors” or “Purchasers”).
