THIS LIMITED LIABILITY COMPANY OPERATING AGREEMENT (the “Agreement”), executed as of June 19, 2023 and effective as of April 28, 2023 (the “Effective Date”), is entered into by and among INNOVATIVE PAYMENT SOLUTIONS, INC., a Nevada corporation (“IPSI”); OPEN PATH, INC., a Delaware corporation (“OP”), and EFINITYPAY, LLC, a Delaware limited liability company (“EP”). IPSI, OP and EP are also hereinafter sometimes individually referred to as a “Member” or collectively as the “Members”.
