This Share Purchase Agreement (this “Agreement”), dated as of February 9, 2023, is entered into among Win100 Wealth Limited, a company formed under the laws of the British Virgin Islands (the “Target”), Junli Yang, the sole shareholder of the Target (the “Seller”), ZYIL(BVI) Limited, a company formed under the laws of the British Virgin Islands (the “Buyer”), and TOP Financial Group Limited, a company formed under the laws of the Cayman Islands (the “Payee”). Capitalized terms used in this Agreement have the meanings given to such terms herein.
