This Securities Purchase Agreement (this “Agreement”) is dated as of July 11, 2023, between Siyata Mobile Inc., a corporation existing under the law of British Columbia (the “Company”), and each purchaser identified on the signature pages hereto (each, including its successors and assigns, a “Purchaser” and collectively the “Purchasers”).

This letter (the “Agreement”) constitutes the agreement between Maxim Group LLC (“Maxim” or the “Placement Agent”) and Siyata Mobile Inc., a corporation existing under the law of British Columbia (the “Company”), that Maxim shall serve as the exclusive placement agent for the Company, on a “reasonable best efforts” basis, for the proposed placement of up to an aggregate of US$2,315,250 of common shares, no par value per share (the “Common Shares”) of the Company directly to various investors (“Investors” or “Purchasers”). The documents executed and delivered by the Company and the Investors in connection with the Offering (as defined below), including, without limitation, a securities purchase agreement to be entered into by the Company and each Investor (in a form reasonably acceptable to the Company and the Placement Agent), shall be collectively referred to herein as the “Transaction Documents.” The purchase price to the Investors for each Common Share is US$0.0450.
