THIS AGREEMENT is made and entered into as of this 30th day of September 2022, by and between Constitution Capital Private Markets Fund, LLC, a Delaware limited liability company (the “Fund”) and Foreside Financial Services, LLC, a Delaware limited liability company (the “Distributor”).

This Limited Liability Company Agreement (the “Agreement”) of Constitution Capital Private Markets Fund, LLC (the “Fund”) is made and entered into with effect from August 4, 2022 (the “Effective Date”) by and among the Fund, Constitution Capital PM, L.P., and those Shareholders who have executed, or shall in the future execute, this Agreement and are admitted to the Fund as Shareholders of the Fund (collectively, the “Parties”).
