THIS MEMBERSHIP INTEREST PURCHASE AGREEMENT (this “Agreement”), dated as of September 3, 2021 (the “Execution Date”), by and among Eurasia Energy Ltd., a corporation formed under the laws of the British West Indies (“Purchaser”), Ronnie D. Guffey (“Seller”) and Artesian Valley Farm, LLC, a Colorado limited liability company (the “Company”). Capitalized terms used but not otherwise defined herein shall have the meanings set forth in Section 7.7 hereof unless the context clearly provides otherwise.

THIS LEASE AGREEMENT is made and entered into this day of September 3, 2021 (“Effective Date”) by and between The Lower Ranch LLC, a Colorado limited liability company (“Landlord”) and Eurasia Energy Ltd., a corporation formed under the laws of the British West Indies (“Tenant”).

THIS CONTRIBUTION AND EXCHANGE AGREEMENT (this “Agreement”) is entered into as of this 3rd day of September 2021 (the “Effective Date”), by and between Justin DeAngelis (“Holder”), Eurasia Energy Ltd., a company domiciled in Anguilla, British West Indies (“Company”) and JRD Ventures LLC, a Nevada Corporation(“JRD”). Each of Holder, Company and JRD may be referred to herein individually as a “Party” and collectively as the “Parties.”
