This NOTE PURCHASE AGREEMENT (this “Agreement”) is made as of the 2nd day of November, 2023 (the “Effective Date”) by and among PARTS iD, Inc., a Delaware corporation (the “Company”), and the purchaser listed on Exhibit A attached hereto (the “Purchaser”, and individually, a “Purchaser”).
