This EXECUTIVE EMPLOYMENT AGREEMENT (this “Agreement”) is entered by and between HNR Acquisition Corp, a Delaware corporation (the “Company”), and Mark Williams, an individual residing in Fulshear, Fort Bend, County, Texas (“Executive”), must be approved by a majority of the Board of Directors of the Company in order to be binding upon the Company prior to the Effective Date of January 29, 2024 (the “Effective Date”). Each of the Company and Executive are a “Party,” and collectively, they are the “Parties.”
