This Amended and Restated Guaranty and Security Agreement, dated as of March 27, 2024 (as amended, restated, supplemented or otherwise modified from time to time in accordance with the provisions hereof, this “Security Agreement”), made by and among Augusta Gold Corp., a Nevada corporation, (the “Company”), Bullfrog Mines LLC, a Delaware limited liability company (“Bullfrog”), CR Reward LLC, a Nevada limited liability company (“Reward”), Rocky Mountain Minerals Corp., a Nevada corporation (“RMMC”), Standard Gold Corp., a Nevada (“Standard”), and Augusta Gold (BC) Corp. FOR VALUE RECEIVED, Augusta Gold Corp., a Nevada corporation (the “Company”) and Augusta Investments Inc., a British Columbia corporation or its assigns (the “Purchaser”), hereby enter into this Amendment Number One (the “Amendment”) to that certain Secured Promissory Note Purchase Agreement by and between the Company and the Purchaser dated September 13, 2022 (the “Purchase Agreement”).
