AMENDMENT NO. 1 TO FINANCING AGREEMENT, dated as of March 29, 2024 (this “Amendment”), to the Financing Agreement, dated as of October 11, 2023 (as amended, restated, supplemented or otherwise modified from time to time, including by that certain Joinder Agreement, dated as of October 24, 2023, by and among the Lead Borrower (as defined below), Orion Merger Sub, Inc.
