Revolving Credit and Security Agreement, dated as of April 19, 2024 among Sezzle Funding SPE II, LLC, a Delaware limited liability company, as borrower (together with its permitted successors and assigns, the “Borrower”), the Lenders from time to time party hereto, and Bastion Funding VI LP, as administrative agent for the Secured Parties (as hereinafter defined) (in such capacity, together with its successors and assigns, the “Administrative Agent”).

This LIMITED GUARANTY AND INDEMNITY AGREEMENT (as amended, restated, supplemented or otherwise modified from time to time, this “Limited Guaranty”) is executed as of April 19, 2024, by SEZZLE INC., a Delaware public benefit corporation (“Limited Guarantor”), for the benefit of BASTION FUNDING VI, LP, as administrative agent (together with its successors and assigns, the “Administrative Agent”) on behalf of the Secured Parties under that certain Revolving Credit and Security Agreement, dated as of the date hereof, among Sezzle Funding SPE II, LLC, a Delaware limited liability company, as borrower (the “Borrower”), the Administrative Agent, and each of the Lenders party thereto from time to time (as amended, restated, supplemented or otherwise modified from time to time, the “Credit Agreement”).
