This SHARE PURCHASE AGREEMENT (the “Agreement”) is made as of June 11, 2024 by and among China Jo-Jo Drugstores, Inc., a Cayman Islands exempted company (the “Company”), the purchasers listed on Schedule A hereto (the “Schedule of Purchasers”), each of which is herein referred to as a “Purchaser” and collectively, the “Purchasers” and, solely for the limited and express purpose of Section 2(b), Lei Liu (“Liu”).
