This Registration Rights Agreement (this “Agreement”) is made and entered into as of June 20, 2024, by and among MDXHEALTH SA, a public limited liability company organized under the laws of Belgium, with registered office at Rue d’Abhooz 31, 4040 Herstal (Belgium), registered with the Crossroads Bank for Enterprises under company number 0479.292.440 (the “Company”), OrbiMed Royalty & Credit Opportunities IV, LP, a Delaware limited partnership (“OrbiMed IV”), and OrbiMed Royalty & Credit Opportunities IV Offshore, LP, a Delaware limited partnership (“OrbiMed IV Offshore”, and together with OrbiMed IV, “Holder”). The Company and the Holder are referred to each as a “Party” and collectively as the “Parties.” Capitalized terms used and not otherwise defined herein shall have the respective meanings set forth in the Credit Agreement.
