Reference is made to that certain Securities Purchase Agreement dated as of August 14, 2022 (as amended, restated, amended and restated, supplemented or otherwise modified from time to time, the “SPA”), by and among Faraday Future Intelligent Electric Inc., a Delaware corporation (the “Issuer”), the other Credit Parties from time to time party thereto, Senyun International Ltd. (the “Senyun Purchaser”), the other financial institutions or other entities from time to time parties thereto (with the Senyun Purchaser, each a “Purchaser” and collectively, the “Purchasers”) and FF Simplicity Ventures LLC, a Delaware limited liability company, as administrative agent and collateral agent. Capitalized terms used but not defined herein shall have the meanings set forth in the SPA. This Amendment No. 12 is referred to herein as this “Amendment”.

THIS MASTER LEASE GUARANTY (this “Guaranty”) is executed and delivered by FARADAY FUTURE INTELLIGENT ELECTRIC INC., a Delaware corporation (if more than one, collectively, “Guarantor”) in favor of UTICA LEASECO, LLC, its successors and assigns (“Lessor”), in connection with that certain Master Lease Agreement dated as of July 11, 2024, together with all Equipment Schedules executed or to be executed pursuant thereto (the “Lease”), by and between Lessor and FARADAY&FUTURE INC., a California corporation, its successors and permitted assigns (hereafter referred to both individually, and collectively (if more than one) as “Lessee”). All capitalized terms shall have the meanings defined in the Lease Documents (as such term is defined in the Lease).
