THIS AMENDMENT No. 3 is to be effective as of January 25, 2024 (“Amendment”) to that certain Fund Accounting and Compliance Services Agreement dated June 1, 2019 (“Agreement”), by and between Cavanal Hill Funds, a Massachusetts business trust (“Client”) and Citi Fund Services Ohio, Inc. (“Service Provider” and, with the Client, referred to herein individually as “Party” and collectively as “Parties”). All capitalized terms used but not defined herein shall have the meaning given to them in the Agreement.

THIS Amended and Restated Investment Advisory Agreement made as of January 25, 2024 between the Cavanal Hill Funds, a Massachusetts business trust (herein called the “Trust”), and Cavanal Hill Investment Management, Inc., an Oklahoma corporation (herein called the “Investment Adviser”) to that certain Investment Advisory Agreement, dated May 12, 2001, between the Trust and the Investment Advisor (as in effect on the date hereof, the “Agreement”). All capitalized terms used but not defined herein shall have the meanings given to them in the Agreement.

This Agreement, dated as of January 25, 2024, into by and between Cavanal Hill Funds, a Massachusetts business trust having its principal place of business in Columbus, Ohio (hereinafter called the “Trust”), and BOKF, NA, an Oklahoma corporation, having its principal office in Tulsa, Oklahoma (hereinafter called the “Custodian”).
