This Indemnification Agreement (this “Agreement”) is made and entered into as of [____________], 2024 (the “Effective Date”), between SBC Medical Group Holdings Incorporated, a Delaware corporation previously named Pono Capital Two, Inc. This Executive Employment Agreement (the “Agreement”) dated as of the date first set forth above (the “Effective Date”) is entered into by and between SBC Medical Group Holdings Incorporated, a Delaware corporation (the “Company”) and Akira Komatsu (the “Executive”).
