This Promissory Note Termination Agreement (this “Agreement”) is made as of September _20__, 2024 by and between Nano Labs Ltd, a company incorporated in the Cayman Islands with limited liability (the “Company”) and each of Mr. Jianping Kong (“Mr. Kong”) and Mr. Qifeng Sun (“Mr. Sun,” together with Mr. Kong, each a “Lender” and collectively, the “Lenders”).

In accordance with Rule 13d-1(k)(1) promulgated under the Securities Exchange Act of 1934, as amended, the undersigned hereby agree (i) to the joint filing, on behalf of each of them, of a statement on Schedule 13D (including amendments thereto) with respect to Class A ordinary shares par value of $0.0002 per share and Class B ordinary shares par value of $0.0002 per share of Nano Labs Ltd, a Cayman Islands company; and (ii) that this agreement be included as Exhibit 99.1 to such joint filing. The undersigned acknowledge that each shall be responsible for the timely filing of any amendments to such joint filing and for the completeness and accuracy of the information concerning him or it contained herein and therein, but shall not be responsible for the completeness and accuracy of the information concerning the others.

THIS SUBSCRIPTION AGREEMENT (this “Agreement”), dated as of September 20, 2024, by and between Nano Labs Ltd, an exempted company incorporated with limited liability under the laws of the Cayman Islands (the “Company”), NLABS FUND PTE LTD. (“NLABS FUND”), a private company limited by shares incorporated in Singapore and wholly owned by Mr. Jianping Kong (“Mr. Kong”) and Star Spectrum Capital Ltd (“Star Spectrum”, together with NLABS FUND, the “Purchasers” and, each, a “Purchaser”), an exempted limited liability company organized under the laws of the Cayman Islands and wholly owned by Mr. Qifeng Sun (“Mr. Sun”).
