This Agreement is made and entered into as of September，29, 2024 by and among (i) Keda Technology Ltd， a BVI (the “Purchaser”); (ii) Jiuzi (HK) Limited, a Hong Kong company (the “Target”); and (iii) Jiuzi Holdings, Inc., a Cayman Islands company (“JZXN” or the “Seller”). The Purchaser, the Company, and the Seller are sometimes referred to herein individually as a “Party” and, collectively, as the “Parties.
