The undersigned, Li Bang International Corporation Inc., an exempted company limited by shares incorporated under the laws of the Cayman Islands (the “Company”), hereby confirms its agreement (this “Agreement”) with the several underwriters named in Annex A hereto (collectively, the “Underwriters,” and each an “Underwriter”), for whom Craft Capital Management LLC is acting as the representative (in such capacity, the "Representative"), and including EF Hutton LLC (“EF Hutton”), as an underwriter. The Company hereby agrees to issue and sell to the Underwriters an aggregate of 1,520,000 ordinary shares of the Company, with a par value of $0.0001 per share (the “Ordinary Shares”), which are referred to herein as the “Firm Shares.” The Company has also granted to the Underwriters an option (the “Over-allotment Option”) to purchase up to 228,000 additional Ordinary Shares, on the terms and for the purposes set forth in Section (1) b. hereof (the “Option Shares”).
