This MODIFICATION OF FIRST AMENDMENT TO COMMERCIAL LEASE AGREEMENT (this “Modification to Amendment”) is made effective as of November 8, 2024, by and between HEADGATE III, LLC, a Colorado limited liability company (“Landlord”) and Green Man Colorado, LLC, a Colorado limited liability company (“Tenant”) together the (“Parties”) pursuant to the following terms:

This Warrant is one of a series of warrants of like tenor that have been issued in connection with the Company’s private offering solely to accredited investors of senior secured convertible promissory notes and warrants in accordance with, and subject to, the terms and conditions described in the Securities Purchase Agreement between the Holder and the Company, as the same may be amended and supplemented from time to time (the “Purchase Agreement”). This Warrant is entitled to the benefits of the Purchase Agreement and is also subject to the obligations imposed by the Purchase Agreement, including as it relates to any restrictions on transfer of ownership of this Warrant.

THIS SECOND MODIFICATION TO ASSET PURCHASE AGREEMENT (the “Agreement”) is entered into as of November 8, 2024 (“Effective Date”), by and among HEADGATE III, LLC, a Colorado limited liability company, or its assigns (“Headgate”), GREEN MAN COLORADO, LLC, a Colorado limited liability company (“Green Man”) TREES Corporation, a Colorado corporation (“Trees”). Headgate, Green Man and Trees are sometimes referred to individually as a “Party” and collectively as the “Parties.”
