THIS Credit Agreement (as amended, restated, amended and restated, supplemented or otherwise modified from time to time, this “Agreement”), dated as of November 25, 2024, is entered into by and among MONEYLION INC., a Delaware corporation (“Holdings”), MONEYLION TECHNOLOGIES INC., a Delaware corporation (the “Borrower”), the several banks and other financial institutions or entities from time to time party to this Agreement as Lenders, and SILICON VALLEY BANK, a division of FIRST-CITIZENS BANK & TRUST COMPANY (“SVB”), as administrative agent and collateral agent for the Lenders (in such capacities, together with any successors and permitted assigns in such capacities, the “Administrative Agent”).
