THIS LIMITED LIABILITY COMPANY AGREEMENT (this “Agreement”) relates to Ridgewood Energy A-1 Fund, LLC, a limited liability company formed under the laws of the State of Delaware (the “Fund”), and is entered into as of March 2, 2009 (the “Effective Date”), as amended by the First Amendment, dated April 13, 2011, by and among Ridgewood Energy Corporation, a Delaware corporation (the “Ridgewood Energy Corporation”), and the Persons who subscribe as investors in the Fund (individually, an “Investor” so long as each such Person is a Member of the Fund and, collectively, the “Investors”). The Manager and the Investors are sometimes referred to herein, individually, as a “Member” and sometimes referred to herein, collectively, as the “Members”).
