This ADMINISTRATIVE AGENT AGREEMENT, dated [ ], 2015 (this Agreement”), is by and between Incapital Holdings LLC, an Illinois limited liability company (“Administrative Agent”), and Incapital Trust Products II LLC, a Delaware limited liability company (“ITP”).
