Brown Revocable Trust dated May 6, 1999 (the “Brown Trust”) (the Freeman Trust and the Brown Trust are referred to herein each as a “Seller” and together as "Sellers") on the one hand, and Luna Azul Development Fund, LLC, a Delaware limited liability company and/or nominee ("Buyer") on the other hand, for the purpose of setting forth the agreement of the parties and to provide instructions to Fidelity National Title Insurance Company ("Escrow Agent"), with respect to the transaction contemplated by this Agreement.
