This AMENDED MANAGEMENT AGREEMENT (this “Agreement”), dated as of the 13th day of January 2023, is entered into by and among Park View OZ REIT Inc, a Maryland corporation (the “Company”), Park View QOZB OP, LP, a Delaware limited partnership (the “Operating Partnership” and together with the Company, collectively or individually as the context requires, the “Park View Entities”), and Park View OZ REIT Manager, LLC, a Delaware limited liability company (the “Manager”), is effective as of January 13, 2023 (the “Effective Date”).

This Amended and Restated Limited Partnership Agreement (the “Agreement”) of Park View QOZB OP, LP (the “Partnership”) is entered into as of the Effective Date by and among Park View Investments LLC, a Delaware limited liability company as general partner (the “General Partner”); Park View OZ REIT, Inc, a Maryland corporation as limited partner (the “Company”); and any other persons executing this Agreement as limited partners, in accordance with the terms of this Agreement.
