Monter ("Executive") entered into an employment agreement dated June 1, 1999, as subsequently amended or otherwise modified and restated, including pursuant to the First Amendment thereto dated June 30, 2000 and the Amended and Restated Employment Agreement dated October 16, 2002 ("Prior Agreement"); and
