THIS EMPLOYMENT AGREEMENT (“Agreement”), is entered into as of August 18, 2018, by and between THE PROVIDENCE SERVICE CORPORATION, a Delaware corporation, with its principal office located at 700 Canal Street, Third Floor, Stamford, CT 06902, its successors and assigns (hereinafter collectively referred to as the “Company”), LOGISTICARE SOLUTIONS, LLC, a Delaware limited liability company with its principal office located at 1275 Peachtree Street NE, 6th Floor, Atlanta, Georgia 30309 (“LogistiCare”), a wholly owned subsidiary of the Company, and Kevin M.
