THIS AGREEMENT OF MERGER (the "Agreement") dated as of July 18 ,2005 (the “Effective Date”), is made and entered into by and between Instachem Systems, Inc., an Oklahoma corporation ("Instachem"), and Sino-Biotics, Inc., a Delaware corporation ("Sino-Biotics"), which corporations are sometimes referred to herein as the "Constituent Corporations."
