AGREEMENT made as of the 17th day of July, 2003, by and between GOLD BANK FUNDS a Delaware statutory trust, having its principal office and place of business’ at 10975 El Monte, Suite 225, Overland Park, Kansas 66211 (the “Fund”), and STATE STREET BANK AND TRUST COMPANY, a Massachusetts trust company having its principal office and place of business at 225 Franklin Street, Boston, Massachusetts 02110 (the “Transfer Agent”).

THIS AGREEMENT is made effective the 6th day of June, 2003, by and between STATE STREET BANK AND TRUST COMPANY, a trust company chartered under the laws of the commonwealth of Massachusetts, having its principal office and place of business at 225 Franklin Street, Boston, Massachusetts 02110 (“State Street”), and GOLD CAPITAL MANAGEMENT, INC., a Kansas corporation, having its principal office and place of business at 10975 El Monte, Suite 225, Overland Park, KS 66211 (“Manager”).
