THIS STOCK EXCHANGE AGREEMENT (this "Agreement") is made as of the 28th day of May, 2004, by and between Hybrid-Systems.com, Inc., a Florida corporation, (the "Company") and the holders of all of the Company's issued and outstanding capital stock (collectively, the "Seller") and Logistics Management Resources, Inc., a publicly-owned Colorado corporation (the "Purchaser").
