THIS STOCK PURCHASE AGREEMENT (this "Agreement") is made as of the 2nd day of August, 2004, by and among Kenneth I. Tobey, Inc., a Washington corporation, (the "Company"), the holders of all of the Company's issued and outstanding capital stock (collectively, the "Sellers") and Certified Services, Inc., a publicly-owned Nevada corporation (the "Purchaser").
