AGREEMENT made and entered into as of this twenty-third day of June 2004 (the "Agreement"), by and between NationsRx, Inc., a Nevada corporation (the "Company") with principal offices at 27 Oakmont Drive, Rancho Mirage, California 92270 and Kevin Fairgrief ("Consultant").
