THIS AGREEMENT AND PLAN OF MERGER is entered into as of February 11, 2010 by and among NanoAsia Ltd., a Nevada corporation (“Parent”), NanoAsia Acquisition Corp., a Nevada corporation and a wholly-owned subsidiary of Parent (“Acquisition Corp.”), and Ad Systems Communications, Inc., an Oregon corporation (the “Company”).
