THIS AMENDED AND RESTATED AGREEMENT AND PLAN OF MERGER is entered into as of November 4, 2011 by and among Smart Kids Group, Inc., a Florida corporation (“Parent”), SKGI Acquisition Corp., a Nevada corporation and a wholly-owned subsidiary of Parent (“Acquisition Corp.”), and Paragon GPS, Inc., a Delaware corporation (the “Company”). This Agreement amends and supersedes in its entirety that certain Agreement and Plan of Merger dated October 17, 2011.
