This ASSET PURCHASE AGREEMENT is made as of this 28th day of August 28, 2013 (this “Agreement”) by and among AMERICAN HERITAGE INTERNATIONAL INC., a Nevada corporation (the “Purchaser”), and american heritage llc and its principals ANTHONY SARVUCCI, VINCENT BONIFATTO and ANDERSON LEVINE LLC (collectively, the “Seller”). Purchaser and Seller are sometimes referred to herein individually as a “Party” and collectively as the “Parties.”
