NOTE PURCHASE AGREEMENT (this “Agreement”), dated as of [__], 2013, by and between Cannabis-Rx Inc., a Delaware corporation (the “Company”), and each of the lender entities whose names appear on the signature pages hereof. Such lender entities are each referred to herein as a “Lender” and, collectively, as the “Lenders”.

FOR VALUE RECEIVED Cannabis-Rx Inc., a Delaware corporation (the "Company"), promises to pay _________________________ ("Holder"), the principal amount of [$_____________] together with all accrued but unpaid interest, or such lesser amount as shall equal the then outstanding principal amount hereof together with all accrued but unpaid interest thereon, payable on the date that is twenty-four (24) months from the Original Issuance Date (the "Maturity Date").
