This Share Exchange Agreement (this "Agreement"), dated as of May 22, 2014, is by and among Cubed, Inc., a Nevada corporation (the "Parent"), WikiTechnologies, Inc., a Delaware corporation (the "Company"), and each of the shareholders of the Company listed on Schedule 2.1 hereto (the "Shareholders").
