This Share Exchange Agreement (this “Agreement”), dated as of July 15, 2014, is by and among Gold Ridge Resources, Inc., a Nevada corporation (the “Parent”), CorGreen Technologies Corporation, a Nevada corporation (the “Company”), and each of the shareholders of the Company listed on Schedule 2.1 hereto (the “Shareholders”). Each of the parties to this Agreement is individually referred to herein as a “Party” and collectively as the “Parties.”
