THIS AGREEMENT AND PLAN OF REORGANIZATION (the “Agreement”) is made as of the 19th day of November, 2010, by and between the Lord Abbett Municipal Income Fund, Inc., a Maryland corporation (the “Company”), on behalf of its series, Lord Abbett National Tax-Free Income Fund (the “Acquiring Fund”), with its principal place of business at 90 Hudson Street, Jersey City, NJ 07302-3973, and the Company, on behalf of its series, Lord Abbett Connecticut Tax-Free Income Fund (the “Acquired Fund”), with its principal place of business at 90 Hudson Street, Jersey City, NJ 07302-3973. The Acquiring Fund and the Acquired Fund are sometimes referred to collectively herein as the “Funds” and individually as a “Fund.”
