This Amended and Restated Change of Control Severance Agreement (the “Agreement”) is made and entered into by and between Keith Jensen (“Executive”) and Fortinet, Inc. (the “Company”), effective as of August 7, 2019 (the “Effective Date”) and supersedes the Change of Control Severance Agreement, between Executive and the Company (the “Prior Agreement”), effective as of February 4, 2016, as amended by the Amendment No. 1 to Change of Control Severance Agreement, between Executive and the Company. effective as of May 1, 2018.
