This Amendment No 1 to the Stock Purchase Agreement, (the “Agreement”), dated December 13, 2013 is made and entered into as of December 15, 2014, between the Action Sports Media, Inc. (“BUYER”) and Jason Fierro (“SELLER”). The SELLER is the sole proprietor of TYME, a private marketing business operating as a sole proprietorship. This amendment constitutes the first and only amendment to the Agreement dated December 15, 2014.
