This SECURITIES PURCHASE AGREEMENT (the “Agreement”), dated as of February 21, 2017, by and between Petrone Worldwide, Inc., a Nevada corporation, with headquarters located at 2200 N. Commerce Parkway, Weston, FL 33326 (the “Company”), and LABRYS FUND, LP, a Delaware limited partnership, with its address at 48 Parker Road, Wellesley, MA 02482 (the “Buyer”).
