THIS RESCISSION AGREEMENT AND MUTUAL RELEASE (the “Agreement”) is made and entered into by and among Marijuana Company of America, Inc., a Utah corporation (“MCOA”), and GateC Research, Inc., a California corporation (“GateC”).
