Gulf South Pipeline Company, LP, a limited partnership organized under the laws of Delaware (the “Issuer””), proposes to issue and sell to the several Initial Purchasers named in Schedule 1 hereto (the “Initial Purchasers”) $275,000,000 in aggregate principal amount of its 5.05% Notes due 2015 (the “Notes”), pursuant to the terms of an indenture (the “Indenture”), to be dated as of January 18, 2005, between the Issuer and The Bank of New York, as trustee (the “Trustee”).
