China Mobility Solutions, Inc., a Florida corporation (the “Company”) proposes to offer for sale (the “Offering”) in a private offering pursuant to Section 4(2) of the Securities Act of 1933, as amended (the “Act”), and/or Regulation D promulgated thereunder, an aggregate of $2,000,000 of units (“Units”) (plus $1,000,000 of additional Units to cover over-subscriptions). Each Unit consists of a $25,000 principal amount of 6% convertible debentures (the “Debentures”), Class A Common Stock Purchase Warrants (the “Class A Warrants”) and Class B Common Stock Purchase Warrants (the “Class B Warrants” and together with the Class A Warrants, the “Warrants”).
