THIS AGREEMENT is made this 15th day of December, 1997. by and among The Alger American Fund (the "Trust"), an open-end management investment company organized as a Massachusetts business trust, Fred Alger Management, Inc., an investment adviser organized under the laws of the state of New York (the -Adviser"), Transamerica Life Insurance and Annuity Company, a life insurance company organized as a corporation under the laws of the State of North Carolina, (the "Company"), on its own behalf and on behalf of each segregated asset account of the Company set forth in Schedule A, as may be amended from time to time (the "Accounts"), and Fred Alger and Company, Incorporated, a Delaware corporation, the Trust's distributor (the "Distributor").

This Shareholder Information Agreement ("Agreement") is effective as of the 16th day of April, 2007 by and among the Columbia Management Services, Inc. ("CMSI") ("Fund"), and the Transamerica Financial Life Insurance Company, Transamerica Life Insurance Company, Transamerica Occidental Life Insurance Company, Monumental Life Insurance Company, and Peoples Benefit Life Insurance Company* (collectively, "Insurers").

(the "Distributor").
